Pay&Go Market Partner Terms

These terms govern listing your shop in the Pay&Go Market, the marketplace inside the Pay&Go app and at paygo.lk. They are additional to the Pay&Go Terms & Conditions of Service, which continue to apply. They do not change how your own shop link works. In these terms “we”, “us” and “Pay&Go” mean MegaPay (Pvt) Ltd, and “you” and “your shop” mean the business whose account accepted them.

1. What the Market is, and what we are not

The Pay&Go Market lists shops and their products so that buyers who have never heard of you can find you. We introduce buyers to you and we process the payment. That is all we do.

You are the seller. You own the goods until they reach the buyer, you set the price, you describe the product, and you are responsible for it being what you said it was, for its quality, and for any warranty, guarantee or legal right that attaches to it. We never take title to anything you sell and we are not a party to the sale.

Nothing in these terms makes either of us the other’s agent, partner or employer.

2. Being listed, and staying listed

Listing is a request, not a right. We check each shop before it goes into the Market — that a real business stands behind it, that the shop has products, photographs, a district and a contact number, and that there is a way for a buyer to pay.

We may remove a listing, or refuse one, where a shop breaks these terms, where products are listed that may not be sold (section 7), where buyers are being harmed, or where the business can no longer be verified. We will tell you which of those it was.

Being removed from the Market does not close your account, delete your shop, or stop your own shop link working.

3. Your own shop link does not change

Your shop link works on its own, with or without the Market. Orders a buyer places through your own link — your WhatsApp, your social media, a QR on your counter, a customer who already knows you — carry no Market fee, and cash on delivery through your own link stays free.

The Market fee in section 5 applies only to an order that came from the Market.

4. Orders, and the delivery status you update

An order reaches you once the buyer has paid, or once they have committed to pay cash on delivery. You accept or decline it, and you keep its status up to date as you prepare, send and complete it.

The status you update is what we and the buyer rely on. If an order is left without a status, it is treated as not yet delivered — in both directions. We do not treat silence as delivery in order to earn a fee, and we do not treat it as a failure in order to refund the buyer against you. The order stays open and a person will contact you.

If you cannot fulfil an order, decline it promptly so the buyer is not left waiting. Repeatedly accepting orders you do not fulfil is a reason to be removed from the Market.

5. The Market fee

When Pay&Go sends you a customer from the Market, that order may carry a Market fee. It is a fee for the introduction and the service, not a discount on your price.

“Commissionable Value” means the price of the goods on the order, excluding any delivery charge and excluding any amount you did not receive. The fee is calculated on the Commissionable Value only — never on delivery.

Your rate is set when your shop is accepted into the Market, by what you sell and what you sell in a month. We will always show the fee on the order itself and on your statement, before it is settled. If we have not shown you a fee on an order, there is no fee on that order.

If an order is refunded, cancelled or charged back, the fee on it is reversed. Where it has already been settled to us, we credit it back to you on your next statement.

We may change your rate by giving you at least 30 days’ notice. The new rate applies to orders placed after it takes effect, never to orders already placed.

6. Being paid

Money from Market orders settles to you the same way money from your own shop link does, under your existing Pay&Go settlement arrangements and to the bank account in your Pay&Go account. We may hold a settlement where we are required to by law or by our banking partner, where an order is disputed, or where we reasonably suspect fraud — and we will tell you why.

Keeping your bank details correct is yours to do. We cannot pay you into an account that does not match your verified business.

7. What may not be listed

You may not list: anything whose sale is unlawful in Sri Lanka; weapons, ammunition or explosives; controlled drugs, or medicines requiring a prescription; tobacco, vaping products or alcohol where you do not hold the licence to sell it; live animals; human remains or bodily fluids; stolen goods; counterfeit goods, or anything that infringes someone else’s trade mark, copyright or design; currency, financial instruments, or anything that is in substance a loan, investment or insurance product; adult or sexually explicit material; anything that is mainly a way of gambling; and anything we are told by a regulator or our banking partner not to carry.

You may not list a product you cannot supply, and you may not use the Market to collect payment for something other than the product shown.

If you are not sure whether something may be listed, ask us before you list it.

8. Your information, and your buyers’ information

What you give us about your business — its registration, its owners, its bank account — we use to verify you, to meet our obligations under Sri Lankan law and Central Bank of Sri Lanka rules, and to run the Market. Our Privacy Policy and Data Protection notice say how.

What you learn about a buyer through a Market order — their name, their address, their telephone number — you may use to fulfil that order and to deal with questions, returns and refunds about it. You may not use it to market to them without their consent, sell it, or pass it to anyone else except a delivery provider who needs it to deliver that order. You must keep it safely and delete it when you no longer need it.

Each of us is responsible for our own compliance with Sri Lanka’s Personal Data Protection Act.

9. Putting things right

Where a buyer has a complaint about a product you sold, it is yours to resolve, and we expect you to resolve it in line with their legal rights. We may ask you for your account of what happened and we may refund a buyer where you do not respond.

You will cover us for any claim, fine or loss we suffer because of something you sold, something you said about it, or a law you broke in selling it. This is the one indemnity in these terms, and it is limited to that.

Neither of us is liable to the other for indirect or consequential loss, or for loss of profit, however it arises.

10. Accepting, and ending

You accept these terms by ticking the acceptance box on the Market application screen, from an account whose mobile number we have verified by one-time password. That acceptance is recorded with its version, the time, and which account accepted it, and you can ask us for a copy of it at any time.

Either of us may end your participation in the Market at any time, on notice. Orders already placed still have to be completed, the fee on them still applies, and sections 7, 8 and 9 continue to apply afterwards.

We may change these terms. We will publish the new version here and tell you about anything that materially affects you at least 30 days before it takes effect. If you do not accept a change, you can leave the Market; staying listed after it takes effect means you accept it.

11. Law

These terms are governed by the law of Sri Lanka and the courts of Sri Lanka have jurisdiction over any dispute about them.

If any part of these terms cannot be enforced, the rest of them still stand.
